In response to the needs of our clients, we offer comprehensive legal advisory on corporate matters. Our services include in particular:

• assistance in selecting the optimum form of business (including partnerships and capital companies, branches of foreign businesses, agencies, associations, foundations, consortiums, holding structures with companies in other legal systems),
• development of the founding documents (articles of association, statutes, organizational regulations and so-called shareholders' agreements),
• active participation in the process of entities’ creation (such as contracts and statutes of the company before a notary, representation in front of courts and authorities in registration procedures, obtaining required permits and licenses),
• support in ongoing corporate matters (change of association and statutes, preparation of minutes from the partners’ meetings and other documents accompanying the process of making resolutions), legal services connected with transformations, mergers and liquidations of economic entities,
• conducting legal audits, due diligence (corporate affairs comprehensive audits and audits of selected areas of performance such as efficiency of financing structures both equity and foreign capital, correctness and completeness of corporate documents),

Our lawyers have extensive experience in providing services for corporations  in Poland, particularly those with foreign capital operating in special economic zones.

In addition, we assist our clients in the investment projects carried out outside Poland. Creation of subsidiaries established in other legal jurisdictions (eg. in a particularly favorable tax jurisdiction of Cyprus) often requires a substantial organizational commitment  associated with the preparation and verification of corporate documentation, contact with foreign advisors and monitoring of the activities of subsidiaries. By helping our clients in realization of projects outside the country, we also use the assistance of legal and business advisors with the selected jurisdictions being in cooperation with us.
